第一章 总则

Chapter 1. General Rules

第一条 本章程根据《中华人民共和国企业法人登记管理条例》（以下简称《条例》）和国家有关法律、行政法规、政府有关政策制定。

Article 1. The Articles of Association are formulated in accordance with the Administrative Regulations of the People's Republic of China on the Registration of Enterprise Legal Persons (hereinafter referred to as the Regulations) as well as relevant national laws, administrative rules and government policies.

Article 2. xxxxxxx is an enterprise owned by the whole people, approved by China Rescue and Salvage of Ministry of Transport of the People's Republic of China, and invested by xxxxxxx Bureau of the Ministry of Transport. It was registed in Guangzhou Market Administration, with the office located at: No.1 Building, 2356 Nanzhou Road, Haizhu District, Guangzhou.

Article 3. Enterprise objective: to provide customers with first-class services in accordance with high-quality and high-efficiency standards, based on the principle of keeping sincere as well as the hope of realizing a win-win situation.

第四条 本企业是独立企业法人，一切活动遵守国家有关法律、行政法规的规定，依法自主经营，自负盈亏，不受任何机关、团体、个人侵犯或非法干涉。

Article 4. As an independent enterprise legal person, the enterprise shall abide by the relevant laws and administrative rules of the state in all its activities, operate independently according to law, and be responsible for its profits and losses, and can not be infringed upon or illegally interfered by any institutions, organizations or individuals.

第三章 注册资本、投资者名称、住所

第六条 本企业的注册资金为人民币20亿元。

第四章 投资者职责

Chapter 4. Investor's Responsibilities

第八条 企业的下列事项必须由投资者作出决定：

Article 8. The following matters of the enterprise shall be decided by the investor:

（一）审议批准企业的章程：

(1) To consider and approve the Articles of Association of the enterprise;

（二）审议批准企业的利润分配方案和弥补亏损方案；

(2) To consider and approve the profit ditribution scheme as well as the loss covering scheme for the enterprise;

（三）企业增加或减少注册资本；

(3) To increase or decrease the registered capital of the enterprise;

（四）审议企业转让出资和办理财产转移手续；

(4) To consider the transfer of capital contribution and go through property transfer procedures;
